Introduction

Welcome to Finstreet Capital Limited (FCL), Finstreet Global Clearing and Settlement Limited (FGCS), and Finstreet Global Markets Limited (FGM) (together, “Finstreet”). These Terms and Conditions ("Terms") govern your use of the Portal (the "Portal") and the services of FCL, FGM, and/or FGCS (the “Services”) managed individually by our entities:

By accessing and using the Portal, you (“you” or “your”) agree to be bound by these Terms, and any additional terms and policies referenced herein. If you do not agree to these Terms, you may not use the Portal.

1. Registration and Account

1.1. To access certain features of the Portal, you may need to create an account. You agree to provide accurate and up-to-date information during the registration process. You agree that use and access of the portal may require you to complete the identification process. You may be denied access to the portal and or any / all services if such identification process is not completed. Detailed conditions with respect to access to the Portal are stipulated in the Client and Participant agreements and applicable Rules.

1.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify the relevant Finstreet entity immediately of any unauthorized use of your account.

2. User Conduct

2.1. You agree not to use the Portal for any unlawful or unauthorized purposes.

2.2. You must not engage in any activity that could harm, disable, overburden, or impair the proper functioning of the Platform.

2.3. You agree not to interfere with the security or integrity of the Portal or any third-party data. Any attempt to damage this Platform may be illegal and Finstreet reserves the right to seek damages from any such perpetrator.

3. Intellectual Property

3.1. All intellectual property rights, including but not limited to trademarks, logos, and content, displayed on the Platform are owned by Finstreet or its licensors. You are not granted any rights or licenses to use such intellectual property without our prior written consent.

3.2. You may not use any content from the Portal for commercial purposes without obtaining a licence from Finstreet.

4. Privacy and Data Protection

4.1. Finstreet collects and processes your personal information in accordance with its Data Privacy Policy and the ADGM Data Protection Regulations (“DPR”) 2021.

4.2. By using the Portal, you consent to the collection and processing of your personal information as described in Finstreet’s Data Privacy Policy and the ADGM DPR 2021.

4.3. Finstreet recommends checking ADGM’s website for the most up-to-date data protection rules.

5. Limitation of Liability

To the maximum extent permitted by law, Finstreet shall not be liable for any direct, indirect, incidental, consequential, special, punitive, exemplary, or other damage arising out of or in any way connected with your use of its Portal and Services.

6. Indemnification

You agree to indemnify and hold Finstreet, its officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including attorneys' fees, arising out of your use of the Portal and Services or violation of these Terms.

7. Governing Law and Dispute Resolution

7.1. These Terms shall be governed by and construed in accordance with the laws of ADGM.

7.2. Any dispute arising out of or in connection with these Terms shall be resolved through amicable negotiations between the parties within thirty (30) calendar days between Finstreet and yourself or the entity you represent. If the dispute cannot be resolved amicably, it shall be submitted to the exclusive jurisdiction of the ADGM courts.

8. Changes to the Terms

Finstreet reserves the right to modify or update these Terms at any time. Any changes will be effective immediately upon posting on the Platform. Your continued use of the Portal after the posting of changes constitutes your acceptance of such changes.

9 .Communications

Communications sent by Finstreet to you by email will be deemed received by you immediately upon sending. Finstreet will not be obliged to seek any acknowledgment of receipt from you in respect of such emails, and will not be liable to you for any delay in or failure of delivery (for whatever reason) of any such email. If Finstreet has addressed such communications to the email address you have provided, then it will not have breached any duty of confidentiality owed to you, even if they are seen by any other person as a result. Communications sent by you to Finstreet by email will be deemed received by upon actual receipt by a system under its control.

10. Miscellaneous

10.1. You are responsible for the computer equipment and software used to access this Portal and for all telephone, internet service provider, and other costs incurred in accessing and using this Portal.

10.2. The Platform may contain links to third-party websites or services that are not owned or controlled by Finstreet. Finstreet does not endorse or assume any responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Finstreet shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

10.3. You may only link to the Portal with Finstreet’s prior written approval. To request permission for inbound linking, please email [email protected]. Finstreet reserves the right to deny any such request at its sole discretion. Additionally, you must not frame the Portal on any other website, nor may you create a border environment around its content without Finstreet’s express written consent.

10.4. Finstreet reserves the right to request the removal of any link to the Portal that it deems inappropriate or inconsistent with the purpose of the Portal. Finstreet also reserves the right to amend these linking terms at any time. By continuing to link to the Portal, you agree to be bound by and abide by these linking terms.

11. Risk Disclosure Statement

11.1. You should carefully consider whether any proposed transaction is suitable for you in the light of the requested Services, your financial resources, experience, objectives for engaging in the transaction, risk appetite, ability to bear risks, and other relevant circumstances.

Finstreet is not responsible for any information or services available through such sites, and any use made of such information is at your own risk. Some of the information contained on the Portal may also have been prepared or provided by third parties and may not have been verified by Finstreet.
